KaSa23 LLC Terms of Service

1. Eligibility

You may use the Services only if you are legally able to enter into a binding agreement and are not prohibited from using the Services under applicable law.

If you use the Services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" includes that entity.

2. Scope of Services

KaSa23 provides digital products and related services, which may include websites, mobile applications, software tools, hosted services, content, AI-supported features, analytics, communications, and related functionality.

The Services may change over time. We may add, modify, suspend, or discontinue any part of the Services at any time, with or without notice, to the extent permitted by law.

3. Accounts

Some Services may require an account.

You agree to:

• provide accurate and current information
• keep your credentials secure
• remain responsible for activity under your account
• notify us promptly of unauthorized use or suspected security issues

We may suspend or terminate accounts, or restrict access, where reasonably necessary for security, operational, legal, or policy reasons.

4. Acceptable Use

You may use the Services only in compliance with these Terms and applicable law.

You may not:

• use the Services for unlawful, fraudulent, or deceptive activity
• interfere with or disrupt the Services or related systems
• attempt to gain unauthorized access to accounts, systems, or data
• reverse engineer, decompile, disassemble, or attempt to extract source code, except where prohibited from restricting such rights by law
• bypass or circumvent security or access controls
• scrape, crawl, or harvest the Services or content by automated means except as authorized by us
• upload, transmit, or distribute malware, malicious code, or harmful content
• use the Services to infringe intellectual property, privacy, publicity, or other rights
• submit content you do not have the right to use
• use the Services to harass, abuse, threaten, or harm others
• use the Services in a way that may damage, disable, overburden, or impair the Services
• misrepresent your identity or affiliation
• use the Services to build a competing product or service using unauthorized access, extraction, or copying of the Services

We may investigate violations and take any action we consider appropriate, including removal of content, suspension, termination, reporting to authorities, or legal action.

5. User Content

Some Services may allow you to upload, submit, create, store, transmit, organize, or share content, materials, data, or other information ("User Content").

You retain whatever rights you have in your User Content, subject to the rights you grant below.

You grant KaSa23 a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, process, transmit, display, perform, distribute, and otherwise use User Content as reasonably necessary to:

• provide, operate, and improve the Services
• maintain functionality and performance
• support storage, backup, synchronization, export, sharing, and collaboration features
• develop, test, and improve existing and future features and Services
• prevent fraud, abuse, spam, and security threats
• comply with law and enforce these Terms
• protect the Services, our rights, and our users

You represent and warrant that:

• you own or control the necessary rights in your User Content
• your User Content and your use of it through the Services do not violate applicable law or third-party rights
• your User Content does not violate these Terms

We are not obligated to monitor User Content, but we may review, remove, or restrict User Content at our discretion.

6. Feedback

If you provide suggestions, ideas, comments, or other feedback regarding the Services ("Feedback"), you grant KaSa23 a worldwide, perpetual, irrevocable, royalty-free, fully paid, sublicensable, and transferable right to use, reproduce, modify, distribute, and otherwise exploit that Feedback for any purpose without compensation or obligation to you.

7. AI-Supported and Automated Features

Some Services may include AI-supported, machine-assisted, algorithmic, or automated features.

You acknowledge that:

• such features may generate incomplete, inaccurate, or inappropriate outputs
• outputs may vary
• automated outputs are provided for general informational or functional purposes and may require review
• you are responsible for evaluating outputs before relying on them

KaSa23 does not guarantee that automated outputs will be accurate, complete, reliable, or fit for your intended purpose.

8. Purchases, Subscriptions, and Billing

Some Services may be offered for a fee, on a subscription basis, as one-time purchases, or through in-app purchases.

If you make a purchase, you agree to pay all applicable fees, taxes, and charges. Pricing, billing terms, renewal terms, and refund terms may be described at the point of purchase or in a product-specific addendum.

Where purchases are processed through third parties, including app stores or payment processors, those third parties' terms may also apply.

Unless otherwise stated:

• fees are non-refundable
• subscriptions may renew automatically until canceled
• we may change pricing prospectively
• failure to pay may result in suspension or termination of access

9. Third-Party Services

The Services may contain links to, integrate with, or depend on third-party services, software, content, websites, SDKs, payment processors, app stores, analytics tools, hosting providers, or other external systems.

We do not control and are not responsible for third-party services. Your use of third-party services is subject to their own terms, conditions, and privacy policies.

10. Intellectual Property

The Services, including their design, software, code, interfaces, visual elements, text, graphics, logos, trademarks, service marks, compilations, and other content, are owned by KaSa23 or its licensors and are protected by intellectual property and other laws.

Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication or otherwise.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purpose.

You may not use KaSa23 names, logos, branding, or other proprietary materials without prior written permission, except as allowed by law.

11. Beta Features

We may designate certain Services or features as beta, preview, early access, experimental, or similar.

Such features may be incomplete, unstable, or subject to additional restrictions. KaSa23 may modify or discontinue beta features at any time. Beta features may be provided with reduced or no support and may be subject to additional terms.

12. Service Availability

We do not guarantee that the Services will always be available, uninterrupted, error-free, or secure.

The Services may be unavailable from time to time for maintenance, upgrades, outages, network failures, third-party issues, or other reasons. We may impose limits on use, storage, features, or access at our discretion.

13. Termination

You may stop using the Services at any time.

We may suspend, restrict, or terminate your access to all or part of the Services at any time, with or without notice, if:

• you violate these Terms
• we suspect fraud, abuse, unlawful activity, or security risk
• we are required to do so by law
• providing the Services to you becomes impractical, commercially unreasonable, or operationally undesirable
• we discontinue the relevant Service

Upon termination, rights granted to you under these Terms will cease. Sections that by their nature should survive termination will survive, including sections relating to intellectual property, feedback, disclaimers, limitations of liability, indemnity, dispute terms, and general provisions.

14. Disclaimers

THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND WITH ALL FAULTS TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KASA23 AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, AND THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

KASA23 DOES NOT WARRANT THAT:

• THE SERVICES WILL MEET YOUR REQUIREMENTS
• THE SERVICES OR OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE
• DEFECTS WILL BE CORRECTED
• THE SERVICES WILL ALWAYS BE AVAILABLE OR SECURE
• CONTENT OR DATA WILL NOT BE LOST OR CORRUPTED

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KASA23 AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF KASA23 FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO KASA23 FOR THE RELEVANT SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
• USD $100

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

16. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless KaSa23 and its officers, members, employees, contractors, affiliates, licensors, suppliers, and service providers from and against any claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• your use of the Services
• your User Content
• your violation of these Terms
• your violation of applicable law
• your violation of any rights of a third party

KaSa23 reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate.

17. Privacy

Your use of the Services is also governed by the KaSa23 Privacy Policy, as updated from time to time.

18. Export, Sanctions, and Compliance

You may not use, export, re-export, transfer, or provide access to the Services except as authorized by applicable law, including export control and sanctions laws.

You represent and warrant that you are not located in, under the control of, or a resident of any country or territory subject to comprehensive restrictions applicable to the Services, and that you are not on any applicable restricted party list.

19. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in New York, and you consent to the personal jurisdiction and venue of those courts, unless applicable law requires otherwise.

To the extent permitted by law, you and KaSa23 agree that any dispute will be resolved on an individual basis only, and not as part of any class, consolidated, or representative action.

20. Changes to the Terms

We may update these Terms from time to time. The updated version will become effective when posted, unless otherwise stated. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.

If required by law, we will provide additional notice of material changes.

21. Force Majeure

KaSa23 will not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, government actions, labor disputes, internet or telecommunications failures, platform outages, third-party service failures, cyber incidents, or other events beyond its reasonable control.

22. General Terms

These Terms, together with any policies, addenda, and supplemental terms that apply to a particular Service, form the entire agreement between you and KaSa23 regarding the Services.

If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.

KaSa23's failure to enforce any provision is not a waiver of its right to do so later.

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign or transfer these Terms and our rights and obligations under them without restriction, to the extent permitted by law.

The section titles in these Terms are for convenience only and have no legal effect.
